These Terms of Use (“Terms”) govern your access to and use of the website of B & L Consulting LLC (“B&L Consulting,” “we,” “us,” or “our”) and the B&L ERP mobile application (together, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. About the Services

Our website provides information about B&L Consulting's building inspection and materials testing services and allows you to request a quote. The B&L ERP mobile application is a business tool provided to authorized personnel of B&L Consulting and its clients for managing inspections, projects, and related business operations.

2. Eligibility and Accounts

• The Services are intended for users located in the United States.
• There is no public registration for the B&L ERP app. Accounts are created and provisioned solely by B&L Consulting for authorized users.
• You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. Notify us immediately at [email protected] if you suspect unauthorized use of your account.
• We may suspend or terminate accounts at any time, including when a user's authorization ends or these Terms are violated.

3. License to Use the App

Subject to these Terms, B&L Consulting grants you a limited, non-exclusive, non-transferable, revocable license to install and use the B&L ERP app on a mobile device that you own or control, solely for authorized business purposes. This license does not grant you any ownership rights in the app.

4. Acceptable Use

You agree that you will not:

• Use the Services for any unlawful purpose or in violation of any applicable law or regulation;
• Access or attempt to access accounts, data, or systems that you are not authorized to access;
• Copy, modify, distribute, sell, lease, reverse engineer, or create derivative works of the Services, except as permitted by law;
• Interfere with or disrupt the integrity or performance of the Services, including introducing malware or attempting to bypass security measures;
• Use automated means (bots, scrapers) to access the Services without our prior written permission; or
• Submit false, misleading, or fraudulent information through the Services.

5. Business Data and Confidentiality

Data accessed through the B&L ERP app — including inspection records, project information, reports, and client information — is confidential business information. You may access and use such data only as authorized and only for legitimate business purposes. Your obligations under any separate employment, engagement, or confidentiality agreement with B&L Consulting or its clients remain in full effect.

6. Intellectual Property

The Services, including all content, software, designs, logos, and trademarks, are owned by or licensed to B&L Consulting and are protected by intellectual property laws. Except for the limited license granted in these Terms, nothing in these Terms transfers any rights in the Services to you.

7. Privacy

Our collection and use of personal information in connection with the Services is described in our Privacy Policy.

8. Third-Party Services and App Stores

The B&L ERP app may be downloaded from the Apple App Store or Google Play Store. Your use of those platforms is subject to their respective terms, and Apple and Google are not parties to these Terms and have no obligation to provide support for the app.

9. Disclaimers

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. INFORMATION ON THE WEBSITE IS PROVIDED FOR GENERAL INFORMATIONAL PURPOSES AND DOES NOT CONSTITUTE PROFESSIONAL ADVICE FOR ANY SPECIFIC PROJECT.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, B&L CONSULTING AND ITS OWNERS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF (OR INABILITY TO USE) THE SERVICES. IN NO EVENT WILL OUR TOTAL LIABILITY ARISING OUT OF OR RELATED TO THE SERVICES EXCEED ONE HUNDRED U.S. DOLLARS (US $100). NOTHING IN THESE TERMS LIMITS LIABILITY THAT CANNOT BE LIMITED UNDER APPLICABLE LAW.

11. Indemnification

You agree to indemnify and hold harmless B&L Consulting from any claims, damages, liabilities, and expenses (including reasonable attorneys' fees) arising out of your misuse of the Services or your violation of these Terms.

12. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including violation of these Terms. Upon termination, your license to use the B&L ERP app ends immediately and you must cease using the app. Sections that by their nature should survive termination (including Sections 5, 6, 9, 10, and 11) will survive.

13. Changes to These Terms

We may update these Terms from time to time. When we do, we will revise the “Effective Date” at the top of this page. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.

14. Governing Law

These Terms are governed by the laws of the State of Nevada, without regard to its conflict-of-law principles. Any dispute arising out of or relating to these Terms or the Services will be brought exclusively in the state or federal courts located in Clark County, Nevada.
